Provide comprehensive secretarial services to the Board of Directors and senior management, ensuring compliance with corporate governance and regulatory requirements
Prepare, maintain, and ensure the accuracy of corporate records, including board minutes, resolutions, and statutory registers
Companies Act, 2016 (the Act), prepare and submit Statutory Returns with the Companies Commission of Malaysia (CCM) in compliance
Coordinate the preparation and filing of all necessary documents and returns with regulatory authorities, ensuring timely compliance with legal obligations
Advise the Board and management on corporate governance best practices, including changes in relevant legislation
Organize and facilitate Board meetings, including the preparation of agendas, meeting materials, and compiling minutes of the meetings
Assist in the development and implementation of corporate governance policies and procedures
Act as a liaison between the company and its shareholders, ensuring effective communication and addressing any queries or concerns
Provide training and support to staff on compliance and corporate governance matters
Monitor and report on changes to corporate law and governance practices that may affect the company
Requirements
Job Requirements:
Bachelor's degree in Law, Business Administration, or a related field; a professional qualification in company secretarial practice (e.g., ICSA/ Licensed Secretary) is preferred
Minimum of 5-7 years of experience in a company secretarial role or corporate governance function
Strong knowledge of corporate governance principles, company law, and regulatory compliance
Good knowledge of Companies Act 2016, Listing Requirements, Malaysian Code on Corporate Governance, and other relevant Securities Commission guidelines
Excellent organizational and time management skills with meticulous attention to detail
Exceptional written and verbal communication skills, with the ability to convey complex information clearly
Ability to manage multiple tasks and projects efficiently in a dynamic environment
Strong interpersonal skills and the ability to work collaboratively with cross-functional teams
Fluency in English and Bahasa Malaysia; proficiency in other languages is a plus
