Prepare/Review Resolutions and Documents:- Draft, review, and ensure the accuracy of resolutions and documents required for submission to relevant authorities.
Monitor compliance with submission deadlines to avoid penalties.
- Client Advisory/Guidance:
Provide advice and guidance to clients on policies, processes, and statutory issues.- Keep clients informed about changes in regulatory requirements.
Communicate with relevant authorities, including the Companies Commission of Malaysia, Bursa Malaysia, and Securities Commission.- Stay updated on regulatory changes and alert clients accordingly.
- Statutory Books and Records:
Maintain and update statutory books and records in compliance with the Companies Act, Bursa Malaysias Listing Requirements, and other regulatory requirements.
- Meeting Attendance and Documentation:
Attend and facilitate Board meetings, Annual General Meetings, Extraordinary General Meetings, and others as required.- Prepare meeting notices, agendas, and minutes.
- Statutory Record Maintenance:
Update and maintain relevant statutory records and documents.
- New Business Registration and Licensing:
Assist in the registration of new businesses, licensing procedures, and work permit applications.- Manage restructuring or liquidation processes for companies.
- Named CoSec for SMEs & PLCs:
Act as the named Company Secretary for SMEs and Public Limited Companies (PLCs).
- Client Servicing and Relationship Building:
Take full accountability for client servicing and build strong relationships with the assigned portfolio of companies.
- Fee Billing and Collection:
Manage fee billing processes and ensure timely collection.- Monitor revenue Key Performance Indicators (KPIs).
Participate in events, seminars, and conferences to enhance industry knowledge.- Identify and pursue business opportunities with potential clients.
Undertake any other tasks or projects assigned by superiors and management.
This role requires a deep understanding of corporate laws and regulations in Malaysia, excellent organizational skills, attention to detail, and effective communication skills to liaise with clients and relevant authorities. Additionally, staying updated on regulatory changes is crucial to providing accurate advice to clients.
Ability to work independently with strong self discipline and minimal supervision- Required language(s): Bahasa Malaysia, English and Mandarin(for mandarin speaking client)
