Job Purpose
The Company Secretary Manager / Assistant Manager will be responsible for ensuring the company complies with all statutory and regulatory requirements under the Companies Act 2016 of Malaysia and other relevant laws. This role involves managing corporate governance, ensuring proper compliance with regulations, and overseeing the company secretarial function.
Key Responsibilities
Compliance with Statutory Requirements
- Ensure the company complies with the provisions of the Companies Act 2016 and any other relevant legislation.
- Prepare and lodge statutory forms, resolutions, annual returns, and other documents with the Companies Commission of Malaysia (SSM).
- Maintain and update statutory registers, including Register of Directors, Shareholders, and other statutory books.
- Monitor changes in legislation and the regulatory environment to ensure the companys compliance with its legal obligations.
Corporate Governance
- Provide advice on corporate governance practices and ensure that the companys activities align with regulatory and legal frameworks.
- Ensure the timely and accurate preparation of board agendas, minutes, and resolutions.
- Assist in the preparation and execution of Annual General Meetings (AGMs) and other board meetings.
- Ensure compliance with the company's articles of association and drafting amendments where necessary.
Board Support
- Advise directors on their duties and responsibilities and assist them in the discharge of their duties.
- Liaise with board members and senior management to ensure the smooth running of board meetings.
- Ensure the companys decision-making processes comply with the board's instructions and align with the Companies Act.
Corporate Records and Documentation
- Maintain accurate records of company documents, including meeting minutes, financial statements, and legal agreements.
- Manage and oversee the proper execution and filing of all legal documentation related to changes in company structure, such as share capital, directors, or office locations.
Liaison with Regulators
- Act as the primary point of contact between the company and regulatory authorities (e.g., SSM, Bursa Malaysia, etc.).
- Respond promptly to queries and requests for information from regulators, ensuring accuracy and compliance.
Training and Team Management
- Lead and mentor the company secretarial team, ensuring all members are knowledgeable about statutory requirements and best practices.
- Provide ongoing training and development opportunities for staff to stay current on changes in relevant laws.
Job Requirements
Qualifications and Skills
- Possess a valid practicing certificate as a Licensed Company Secretary under the Companies Act 2016.
- Minimum of 2 years of experience in a similar role, with proven experience in corporate governance and compliance.
- Strong understanding of the Companies Act 2016, Bursa Malaysia regulations (if applicable), and other relevant laws and guidelines.
- Excellent communication skills, both written and verbal, with the ability to interact with directors, senior management, and regulatory bodies.
- High attention to detail, strong organizational skills, and ability to manage multiple tasks efficiently.
- Candidate must possess at least a Degree or equivalent.
- Able to speak in Bahasa Malaysia, English & Mandarin.
Preferred Skills
- Experience with company secretarial software.
- Ability to handle confidential matters with discretion.
- Membership with the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) or other relevant professional bodies.
